for a sale, merger or acquisition are not the most obvious, and
consequently can only be identified by utilizing significant research
resources.
T&T will not put a client
"in play" or orchestrate the typical auction. The disruption to the
company personnel, the exposure of confidential company information and
the significant chance of customer and employee defection makes the
conventional auction process a high risk for the selling company and
therefore, undesirable. The DEALMAKER? program will locate the buyer or
investor, which best serves the client's interest without the trauma and
danger of the auction process. T&T's ability to achieve the objectives
of its selling clients is grounded in its understanding of the buyers
motivations. A multitude of strategic reasons will compel the "right"
buyer to seek a particular target candidate. T&T's role is to find
that "right" buyer and present our client?s company in its best strategic
light without the risk of overexposure.
Acquisition
Searches
T&T has developed a
proprietary strategic acquisition search protocol known as the DEALMAKER?
Program. This proactive systematic campaign identifies, engages, screens
and evaluates potential acquisition candidates that meet the stringent
criteria of our client?s strategic vision. Targets are identified though
rigorous research and though our international network of industry
specialists to determine the ideal candidates for our clients based on
factors such as their products, services, technologies, applications,
R&D, manufacturing, distribution, geography, etc.
Post
Transaction Integration
The most
critical step in any merger or acquisition transaction occurs after the
transaction is consummated. At the request of our clients, T&T will
assist in the post transaction integration process which actually starts
during the due diligence process. T&T will utilize its staff of
industry specialists and affiliate professionals that are expert in the
particular industry and experienced at integration. T&T will establish
with our clients, the intended goals and objectives expected from the
transaction and then work with the management teams to put into place an
actionable game plan for success.

Re-Capitalization
For twenty years,
Trudeau & Trudeau has been active player in the private equity
markets. We have followed each new group as they have joined the ranks of
the hundreds of funds seeking acquisition opportunities. Our data mining
architecture allows T&T to track the portfolio of each of the Private
Equity Groups' (PEGs) holdings and is maintained in our proprietary
database. Shareholders of a company that are seeking a liquidity event
for their estate or growth capital for their company, need to know which
PEG is the "right" one for their company, both in its strategic and
financial needs. The partners at T&T believe that the right PEG for a
particular company is one that understands our client's industry and is
consequently the most likely candidate to make the investment. This is
determined in advance by researching and examining the PEG?s current and
past portfolio. T&T has expended considerable resources to acquire and

to successfully complete this type of assignment.

Coordination
Transactions or ?deals? often
are made or ?structured? between a prospective buyer, seller and
investment banker based upon preliminary information, leaving the ?details
of the deal? to be put together by the advisors as the deal moves
forward.

Joint Ventures can have
immense upside rewards that allow companies to realize benefits they could
not achieve alone in a global marketplace. T&T has the experience and
technical expertise to assist the client in finding the ?right? partner
and designing the optimum corporate mechanism capable of ensuring the
success of the transaction. Often, these types of deals are a precursor
to a merger or acquisition between the parties.
